TERMS & CONDITIONS

1.  General 

These are the terms that govern your use of the  

SALONECROWDFUNDER.COM website (referred to as ‚Äúthe site‚ÄĚ) and your relationship with SALONECROWDFUNDER.COM (referred to as ‚Äúwe‚ÄĚ, ‚Äúus‚ÄĚ,¬† or ‚Äúour‚ÄĚ). If you do not agree to these Terms & Conditions (‚Äúreferred to as¬† Terms‚ÄĚ), please do not register for or use our site.¬†

1.2. To become a User of the site, you must read, agree with, and accept all of the terms contained in this agreement which takes effect on the date of your first use of the site. By agreeing to these Terms you appoint us as your agent to conclude a separate and direct agreement between you and each  Campaign you support. 

1.3. The SALONECROWDFUNDER.COM Policies (referred to as ‚Äúthe Policies‚ÄĚ)¬† including our Data and Privacy Policy also form part of these Terms. The Policies change from time to time. By agreeing to these Terms, you also agree to the way we use and protect your personal information.¬†

1.4. By accepting this Agreement (including the Policies), you agree to be bound by it and to the User Agreements and posted Terms and Conditions on other websites operated by us.  

1.5. In these Terms the expressions: 

1.5.1. ‚ÄúDonor‚ÄĚ shall mean any person registered on this Site as a supporter of a¬† Campaign.¬†

1.5.2. ‚ÄúDonation‚ÄĚ shall mean a contribution to a Campaign.¬†

1.5.3. ‚ÄúSALONECROWDFUNDER‚ÄĚ is the name used for this specific project by¬† Innovation SL, a privately limited liability company incorporated under the laws of Sierra Leone with registered number SL240117INNOVO1166 with registered office @ 9B Spur Loop, Wilberforce, Freetown, Sierra Leone.¬†

1.5.4. ‚ÄúCampaign‚ÄĚ shall mean any business, organization, or individual listed on this Site for which a Campaigner wishes to gather support.¬†

1.5.5. ‚ÄúSupport‚ÄĚ shall mean any funds or other support provided by donors to a¬† Campaign through this Site to support a Campaign.

2.  Modifications 

2.1. From time to time, we may amend the Terms of this Agreement. Amendments will be published on the Site. Except as stated in this Agreement, in a Policy,  or as otherwise notified to you, all amendments will be effective immediately. Continued use of our services following the publication of any changes to the  Terms constitutes acceptance of those changes. 

2.2. Each time you use our services you confirm your agreement to be bound by,  and acknowledge any changes to, the Agreement (including the Policies). You also agree to familiarize yourself with and comply with the Policies relevant to your use of the Site and the services provided under this Agreement (as may be amended from time to time). You should access and read the information contained in other pages and websites referred to in this Agreement. 

2.3. You must terminate your membership/use with the Site if you do not agree with such changes to this Agreement (or any of our Policies). If you continue  to be a member and continue to use the Site after any such changes to this  Agreement or any of our Policies, you will be considered to have accepted the amended Terms as part of the Agreement. 

2.4. The Terms of this Agreement and any of the Policies cannot be amended,¬† except as specifically described in or authorized by this Agreement, and only then in writing authorized by you and SALONECROWDFUNDER.COM. In this¬† Agreement, a reference to ‚Äúyou‚ÄĚ includes anyone acting on your behalf or with your express or implied authority. Any reference to this Agreement includes the Policies unless stated otherwise. 3.¬† Interruptions, Errors and Omissions¬†

3.1. Whilst reasonable endeavors will be made to ensure the maintenance and availability of the Site, SALONECROWDFUNDER.COM does not accept liability arising from any errors, omissions, interruptions of service, or delays that may occur in connection with the Site. 

3.2. There may be times when our online services are unavailable due to planned maintenance. We will try to inform you in advance of any such suspension through a general notice on the Site but this may not always be practicable. 

3.3. We may vary the specifications of this Site from time to time without notice.

4.  Eligibility 

4.1. Campaigners have to be 18 years and above. 

4.2. Campaigners must have a concept or an idea, a Startup with an MVP, or a  Prototype. The idea or Startup must have a social impact. 

4.3. The Idea/Startup must be based in Sierra Leone. 

4.4. Campaigners targeting more than seven (7) thousand New Leones must have a Bank  Account. 5. Registration 

5.1. To use our service, you must first register on our Site and this requires you to create a Username and Password. This information is personal, not transferable, and must not be shared with anyone. You acknowledge that you are responsible for all information and activity on this Site by anyone using your Username/Email and Password.

5.2. Any breach of security or unauthorized use of a Username, Email, Password, or security information must be reported to SALONECROWDFUNDER.COM  immediately. 

5.3. We reserve the right not to act on your instructions if it reasonably suspects that the person logged into your SALONECROWDFUNDER.COM account is not you or it suspects unauthorized use or fraudulent activity.

6. Application 

6.1. To create a Campaign, you must accept our Terms and complete the  Application Form 

6.2. Based on our expert assessment of the contents of your application; you will be accepted to create a Crowdfunding Campaign or rejected. 

6.3. A Campaign Manager will assist the applicant with co-creating the Campaign.  The Campaign Manager authorizes the Campaign to be launched on the platform. 

6.4. All campaigns will be co-created with our Staff expert team. 

6.4.1. We co-create with the applicant and develop the Campaign by requesting further details of their Idea/Startup. 

6.4.2. Ask Leading questions and in some cases advice.  

6.4.3. We share the Campaign details with the Campaigner to read through and give consent before we proceed to the next step (Launch Campaign). 

6.5. The Campaigner should respond to feedback directed on the Campaign by Donors, share the Campaign links on social media, and spread the word with family and friends to share the Campaign details and donate to the Campaign.

 6.6. All Campaigns end 3 months after the launch. Donations raised will be disbursed to the Campaigner through his/her Bank Account or Mobile Money  (depending on the amount raised and the Campaigner’s preferred option)  within one (1) month at the end of the Campaign period (except where a  Donor requests for follow-up reports). 

6.7. If a Donor requests follow-up reports, Campaigners are to submit reports to show accountability and enhance their profile for further fundraising.  However, for such a request to be made, a major donation Рabove fifty million  Leones (Le 50,000,000) must be made by said Donor. The follow-up stage comprises Disbursement, Reporting, Accountability, and Capacity Building.  

 6.7.1. Disbursement: To keep track of how the Campaigners use the donations and ensure accountability, the disbursement of funds is to be done in tranches through bank transfer at the end of the Campaign period. Each Campaign will have a  unique ID that can be easily traceable by the bank and the Site Managers.  

 6.7.2. Report: For the Campaigner to collect subsequent installment(s)  (after the first), a narrative report of how the initial funds were spent should be uploaded to the platform by the Campaigner based on the objectives of the  Campaign. 

 6.7.3. Accountability: A financial report should be uploaded by the Campaigner to account for funds spent including proof of payments (receipts, invoices, photo/video evidence). By submitting their reports, Campaigners will enhance their profile for further funding and help build the credibility of the Site. This document will be accessible to the Donor to view and approve for the next installment.  

 6.7.4. Capacity Building: Innovation SL Ltd will provide paid services to  Campaigners that support their concept development, building a minimum viable product/prototype, and the growth and scaling up of their business upon the request of the Donor and/or Campaigner.

7. Campaigns 

7.1. Individual Campaigners/Groups are entitled to run only one Campaign throughout the year.  

7.2. All Campaigns will last for 3 months unless terminated by the Campaigner. 7.2.1. When a Campaigner terminates an ongoing Campaign by mistake, the platform Manager will be notified and ensure that the Campaign is still visible to all users. 

7.2.2. Where a Campaigner intends to terminate a Campaign before the end of the 3 months, the Campaign will be removed from the platform but the Campaigner relinquishes the right to receive any funds donated up to that point unless there are extenuating circumstances. 

7.3. All funds are collected and managed for the Campaigner by Innovation SL Ltd. When a Campaign is created, Ecobank (opt to work with) and Innovation SL Ltd verify the Campaigner and obtain their Bank Details or Mobile Money account details. If the Campaigner does not have a Bank Account, we will advise one is opened with Ecobank. Third-party Bank Accounts/Mobile  Money Accounts will not be accepted. 

7.4. All Campaigners targeting more than seven (7) million Leones must have a  Bank Account; below that amount, an Orange or Africell Money Account is acceptable. 

7.5. Ecobank and Innovation SL Ltd transfers the ‚ÄúNet Funds‚ÄĚ due directly to the¬† Campaigner under any Terms set by the Campaigner/Donor.¬†

7.6. The ‚ÄúNet Funds‚ÄĚ refers to the amount raised during a Campaign period less the Ecobank charges and SALONECROWDFUNDER.COM platform Fees.¬†¬†

7.7. We shall not be held liable for the interactions with any organizations and/or individuals found on or through the SALONECROWDFUNDER.COM platform.  7.8. Except where conditions have been put before the donation, all queries regarding funds pledged should be referred to the Campaigner at first instance, and if the issue is not resolved, then to Ecobank and Innovation SL  Ltd. It is the responsibility of the Campaigner to fulfill the promises of their  Campaign, save where the Donor has placed conditions before donation. 

7.9. We review Campaigns to ensure they do not violate our Terms, however, do not investigate a Campaigner’s ability to complete their Campaign objectives,  unless specifically asked by the Donor for Innovation SL to do so. 

7.10. We cannot be held liable for the actions of a Campaigner. Campaigners are wholly responsible for fulfilling obligations both implied and stated in any  Campaign listing they create unless specifically asked by the Donor for  Innovation SL to do so.  

7.11. We do not oversee the performance or punctuality of Campaigns unless specifically asked by the Donor for Innovation SL to do so.  

7.12. We reserve the right to remove a Campaign listing from public listings for any reason.  

7.13. We are not responsible for any damage or loss incurred as a result of any dealings on the Site and are under no obligation to become involved in disputes between Donors and Campaigners, or between Site members and any third party. In the event of a dispute, you agree that you release  SALONECROWDFUNDER.COM employees, partners, and successors in rights from claims, damages, and demands of every kind, known or unknown,  suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and SALONECROWDFUNDER.COM. 

7.14. We cannot guarantee the performance or reliability of the Ecobank online payment services. 

7.15. We cannot guarantee the full receipt of promised funds to a Campaign due to occasional failures when capturing funds from Debit and Credit cards.  Campaigners and Donors agree to be bound by and comply with the Ecobank and Innovation SL Ltd Terms of Service. 

8. SALONECROWDFUNDER.COM as a Venue and a Service Provider 

8.1. SALONECROWDFUNDER.COM is an online donation Crowdfunding  Platform and acts as a venue to allow members who comply with  SALONECROWDFUNDER.COM’s Terms to raise funds to fulfill their dreams of starting, running, and growing their own business.  

8.2. We are not directly involved in the transaction between Campaigners and  Donors. While we do our best to validate the information and authenticity of the project, we have no control over the quality, safety, morality, or legality of any aspect of Campaigns, the truth or accuracy of the listings, the ability of  Campaigners to complete the Campaign objectives, or the ability of a Donor to pay promised monies.  

8.3. We cannot guarantee the true identity, age, and nationality of a member. We recommend that you check the member’s bio and history on the Site for background information and do your research before providing funds. 

8.4. SALONECROWDFUNDER.COM is a venue and as such is not responsible or  liable for any content, for example, data, text, information, graphics, images,  photographs, profiles, audio, video, items, and links posted by you, other members, or outside parties on the Site. You agree that the use of  

SALONECROWDFUNDER.COM’s services are at your own risk.  

9. SALONECROWDFUNDER.COM Service Fee 

9.1. SALONECROWDFUNDER.COM will deduct a 5% standard fee from the funds raised through a Campaign on the Site. We reserve the right to vary this rate for specific Campaigns in agreement with the Campaigner.  

9.2. Ecobank will deduct Credit/Debit card and Banking fees from funds paid to a  Campaigner at their published rate. 

9.3. Fees may vary depending on the location of your Ecobank account and whether pledges are made using a Domestic or International Debit/Credit card.  

9.4. On occasion, it is possible that a pledge made by a Donor will be returned to the Donor by Ecobank and Innovation SL Ltd (for example if there has been fraud on their Debit/Credit Card). In these circumstances, it may be the amount shown on the site created by Ecobank and Innovation SL.

The site will show a higher amount raised on a  Campaign until the Site is informed by Ecobank and Innovation SL Ltd of the need to adjust. Once we have been informed, we will endeavor to adjust within seven (7) working days.

10. Acceptable Use 

10.1. You must ensure that all information supplied by you is true, accurate, and up-to-date at all times. 

10.2. You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights or restrict or inhibit the use and enjoyment of the  Site by any third party.  

10.3. You are solely responsible for any information submitted by you to this Site.  You hereby agree that your use and any content posted by you on the Site  will not: 

10.3.1. Be false, inaccurate or misleading; 

10.3.2. be fraudulent or involve the sale of illegal, counterfeit, or stolen items,  break any law, or encourage an illegal act; 

10.3.3. be obscene, abusive, offensive, or contain child pornography; 

10.3.4. Contain or transmit any code of a destructive nature that may damage,  detrimentally interfere with, surreptitiously intercept, or expropriate any  system, data, or personal information; 

10.3.5. host images not part of a listing, infringe upon any third-party’s  copyright, patent, trademark, trade secret, or other proprietary or  intellectual property rights or rights of publicity or privacy, violate this  Agreement, any site policies, any community guidelines, any Campaign  guidelines, or any applicable laws, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer  protection, unfair competition, anti-discrimination or false advertising); 10.3.6. contain items that have been identified by your government as  hazardous to consumers and therefore subject to a recall, be defamatory,  trade libelous, unlawfully threatening, harassing, or  

impersonate or intimidate any person (including our staff or other users),  or falsely state or otherwise misrepresent your affiliation with any person,  through for example, the use of similar email address, nicknames, or  creation of false account(s) or any other method or device; 

10.3.7. modify or adapt another website to falsely imply that it is  associated with us; appear to create liability for us or cause the Site to lose  (in whole or in part) the services of SALONECROWDFUNDER.COM ’s  ISPs or other suppliers linked directly or indirectly; 

10.3.8. refer or contain descriptions of goods, experiences, or services that are  prohibited under this Agreement, the Privacy Policy, or other policy  documents as posted on the Site; 

10.3.9. contain software viruses or any other computer code, files, or programs  designed to affect the use of any computer software or hardware or  telecommunications network; and/put 

10.3.10. Innovation SL Ltd. or the SALONECROWDFUNDER.COM website into disrepute. 

10.4. You must not under any circumstances seek to undermine the security of the  Site or any information submitted to or available through it. 

10.5. You agree to indemnify us and keep us indemnified against all costs,  expenses, claims, losses, liabilities, or proceedings arising from misuse by you of this Site. 

10.6. While this site is intended for Ideas/Startups based in Sierra Leone, Users may be residents of any jurisdiction out of Sierra Leone. Users of this Site in jurisdictions outside Sierra Leone should be aware of, and observe, all applicable legal requirements in their jurisdictions. In particular, users should ensure that they can use this Site without contravention of legal restrictions in the jurisdiction in which they reside.  

10.7. You are responsible for ensuring that all persons who access this Site through your internet connection are aware of these Terms and that they comply with them. 

10.8. We reserve the right to not accept Campaigns that we feel are not suitable for the platform.

11. Enforceability  

11.1. These Terms are only intended to be enforceable by you and  SALONECROWDFUNDER.COM. A person who is not a party to these Terms has no right to enforce any of these Terms. 

Development and Management of a Crowdfunding Platform 

11.2. If any of these Terms are determined to be illegal, invalid, or unenforceable by a court of competent jurisdiction, then they shall be severed and deleted from these Terms without affecting the enforceability of the remaining provisions.

12. Termination 

12.1. SALONECROWDFUNDER.COM reserves the right to cancel a Campaign profile and refund all associated Donor payments at any time for any reason without notice. 

12.2. We may terminate your access to all or any part of this Site at any time for any reason without notice and may change, suspend, or discontinue all or any part of its online services at any time without notice. 

12.3. If SALONECROWDFUNDER.COM terminates your access to this Site or suspends your account for any reason other than a breach of these Terms or as a  result of criminal activity, we will endeavor to return any funds that belong to you within 30 days.  

12.4. All provisions of these Terms which either expressly or impliedly survive termination or expiry of these Terms shall survive termination of expiry, including but not limited to Terms regarding warranty, disclaimers, indemnities, and limitations of liability.

13. Links to Other Sites 

13.1. The site contains links to other websites, charities and organizations. The links are provided for your convenience only. We do not approve or endorse any third party or its website or take any responsibility for the content or security of such sites. We accept no liability for any direct, indirect, or consequential loss you may suffer as a result of the use of websites owned or operated by third parties. 

13.2. Furthermore, we will not be a party to or in any way be responsible for any agreement or transactions concluded between you and any such third-party website owner or operator. 

14. Viruses 

14.1. You are responsible for ensuring that all information, data, and files are free of viruses and do not interfere with any system or data before being submitted to the Site.  

14.2. Whilst SALONECROWDFUNDER.COM makes all reasonable attempts to exclude viruses from the Site, we do not accept responsibility for any loss,  disruption, or damage to your data or your computer system that may occur whilst using this Site. We strongly recommend you take all appropriate safeguards before using this Site.

15. Copyright 

15.1. All materials on this Site are owned by and subject to the Copyright of  SALONECROWDFUNDER.COM, affiliated Campaigns, or third parties. 

15.2. No part of this Site, including information, images, videos, photos, logos,  names, or icons may be copied, republished, posted, or reproduced in any form whatsoever without the prior written permission of the copyright holder. You are, however, permitted to access, copy, and produce materials for your personal non-commercial use only. 

15.3. You retain copyright and any other rights you already hold in content which you submit, post, or display on or through this Site. By submitting, posting, or displaying the content you give SALONECROWDFUNDER.COM a  continuous, irrevocable, worldwide, royalty-free, and non-exclusive license to produce, adapt, modify, publicly display, and distribute any content which you submit to the Site unless otherwise agreed in writing between you and  SALONECROWDFUNDER.COM. 16. Dispute Resolution 

16.1. If any dispute arises in connection with these Terms, the parties will attempt to solve it through mediation following Innovation SL Ltd Policies.  Unless otherwise agreed between the parties, the mediator will be nominated by SALONECROWDFUNDER.COM, the mediation will be conducted in  Freetown, Sierra Leone and all negotiations up to and including the mediation shall be strictly confidential.  

17. Governing Law/Jurisdiction 

17.1. These terms shall be governed by and construed per the laws of Sierra Leone. 

17.2. The courts of Sierra Leone shall have exclusive jurisdiction to settle any dispute arising out of these Terms (including a dispute regarding the existence, validity, or termination of all or part of these Terms or the consequences of its nullity).
